Terms of Use

1. Introduction / Overview

These Terms govern your access to and use of GenoDynLabs' website, mobile application, online customer portal, and related services, including the browser-based analysis of genetic data and the generation of personalized nutrition protocols (collectively, the "Services"). By using the Services, you are legally bound to these Terms. GenoDynLabs may update these Terms at any time, and your continued use of the Services constitutes acceptance of any changes.

2. Arbitration Notice

Disputes must be resolved through binding arbitration, not court. You waive the right to join a class action lawsuit or class-wide arbitration.

3. Privacy Policy

A separate Privacy Policy governs how your information is collected and used. Your raw DNA file is parsed locally in your browser and is not sent to an AI provider. Your assembled report, including matched genetic findings, may be saved to your account. With separate AI consent, matched SNPs, genotypes, and bounded study metadata are sent through Vercel AI Gateway to TypeSafe AI for scoring; the full raw file is not sent.

4. License; Term

• General License: You receive a limited, personal, non-transferable license to use the Services solely for your own personal, noncommercial purposes.
• Use of Reports: You may download, copy, and share your personalized protocol reports but cannot sell, modify, or remove any proprietary notices from them.
• Term: The agreement begins upon your first use or purchase and continues until terminated.

5. Intellectual Property Rights

All content, code, designs, algorithms, databases, nutrigenomics research compilations, variant-analysis methodologies, and personalized protocol outputs belong exclusively to GenoDynLabs. This includes the proprietary browser-based engine that cross-references your genetic variants locally against our curated database of peer-reviewed nutrigenomics research across validated laboratory cohorts. Users obtain no ownership rights whatsoever in or to any of the foregoing.

6. Restrictions on Your Use

Prohibited behaviors include:

• Reverse-engineering or copying the Services, including GenoDynLabs' variant-analysis engine, browser-based processing logic, or nutrigenomics research database
• Attempting to intercept, extract, or reconstruct any SNP flag data, analysis logic, or research database content transmitted to or processed by the Services
• Using the Services for unlawful purposes
• Scraping or data mining any content, results, or research from the Services
• Submitting false, inaccurate, or corrupted genetic data
• Competing with GenoDynLabs or building substantially similar services using knowledge or access gained through the platform
• Using bots or automated tools to access the Services
• Uploading malware or harmful code

7. Terms of Sale

• Payment: Credit or debit card only; payment declines and errors are the user's responsibility; refunds are not guaranteed and are at GenoDynLabs' sole discretion.
• Shipping: Applies to any physical products only; users pay shipping fees; delivery limited to the continental U.S.; taxes applied as required by law.
• Order Acceptance: Placing an order is not a guarantee; GenoDynLabs can cancel any order for any reason up until fulfillment.

8. Your Account

An account is required to use the Services. You are responsible for keeping your login credentials secure and for all activity on your account. By signing in, you authorize GenoDynLabs to display your report through the platform. The raw DNA file is parsed locally; matched findings in the assembled report may be saved to your account. AI analysis of matched findings requires separate consent.

9. Suspension and Termination

GenoDynLabs may suspend or terminate accounts at any time for any reason without notice. You may terminate your account if material changes to the Terms are unacceptable, but no refunds will be issued. The mobile app must be fully deleted to close that account. GenoDynLabs does not store your raw DNA file, but your saved report may contain matched genetic findings.

10. Availability of Products and Services

Prices and availability of products and services can change or be discontinued at any time without notice or liability.

11. No License; No Ownership

Except for your limited right to download, copy, and share your personalized protocol Reports as described above, you do not obtain any license, ownership, or other right, title, or interest, express or implied, in or to any results of our Services or any products or services that may be developed or improved upon using information resulting from our Services, including any patent, copyright, trademark, trade secret, or other intellectual property rights in or to the same. This includes, without limitation, any improvements to GenoDynLabs' variant-analysis engine or nutrigenomics database derived from anonymized, aggregated SNP flag data.

12. Monitoring the Services

GenoDynLabs reserves the right to monitor account and app usage at any time. For the avoidance of doubt, such monitoring does not include access to your raw genetic data, which is processed locally on your device and never transmitted to GenoDynLabs' servers.

13. Social Media

Social media links may be included in the app and website. Posts by third parties do not reflect GenoDynLabs' views. Content may be removed and users may be blocked at any time. Engagement with a user's post does not constitute an endorsement.

14. Not a Medical Device; Informational Use Only

• GenoDynLabs is not a medical device, healthcare provider, or clinical service. The Services are not regulated by the FDA or any other medical or clinical regulatory body.
• All genetic variant analyses, personalized nutrition protocols, and related outputs are provided for informational purposes only. They do not constitute medical advice, medical diagnosis, clinical recommendations, or treatment of any kind.
• Results generated by the Services should never be used as the sole basis for any health, nutrition, or medical decision. You should always consult a qualified healthcare professional — such as a physician, registered dietitian, or licensed nutritionist — before making any changes to your diet, supplementation, or health routine based on results from the Services.
• GenoDynLabs expressly disclaims any responsibility for actions taken or not taken in reliance on the outputs of the Services without appropriate professional guidance.

15. User Consent; Acknowledgment of Limitations and AI-Powered Analysis

By using the Services, you expressly acknowledge and consent to each of the following:

• Scientific Limitations: The personalized nutrition protocols and genetic variant analyses generated by the Services are based on nutrigenomics research available at the time of analysis. The field of nutrigenomics is rapidly evolving. Future studies, expanded cohorts, or new peer-reviewed research may contradict, revise, or invalidate the findings upon which your report is based. You understand and accept that your report may become inaccurate, incomplete, or outdated as scientific knowledge advances, and that GenoDynLabs has no obligation to update previously generated reports in light of new research.
• Inherent Data Limitations: Your report is generated based entirely on the genetic data you provide. GenoDynLabs does not independently verify the accuracy, completeness, or integrity of that data. If the underlying genetic data contains errors, corruptions, or inaccuracies — whether introduced by you, a third-party testing provider, or the upload process — your report will reflect those errors. You accept full responsibility for the accuracy of the data you submit and for any consequences arising from reliance on a report generated from inaccurate data.
• AI-Powered Analysis: With separate AI consent, matched SNPs and genotypes are sent to TypeSafe AI through Vercel AI Gateway for probabilistic evidence scoring. The raw DNA file is not sent. AI-generated scores may be inaccurate and do not measure nutrient levels or diagnose a deficiency. You can withdraw AI consent in Settings.
• No Guarantee of Results: GenoDynLabs makes no representation that the personalized protocols generated by the Services will produce any specific health, nutrition, or wellness outcome. Individual results will vary based on factors outside GenoDynLabs' control, including but not limited to lifestyle, medical history, and adherence to recommendations.
• Informed Consent: You confirm that you have read, understood, and voluntarily agree to these limitations before using the Services. You agree that your continued use of the Services constitutes your ongoing informed consent to all of the above.

16. No Warranty

The Services are provided "as is" with no guarantees of accuracy, availability, or reliability. GenoDynLabs does not warrant the completeness or accuracy of any genetic variant analysis or personalized nutrition protocol. As described in Sections 14 and 15, the Services are not a substitute for professional medical advice, diagnosis, or treatment, and results are subject to the inherent limitations of current nutrigenomics research and AI-powered analysis. You should consult a qualified healthcare professional before acting on any results or recommendations generated by the Services.

17. Limitation of Liability

GenoDynLabs' total liability to any user is capped at $100, regardless of the type or extent of harm. The only available remedy for dissatisfaction is to stop using the Services.

19. Indemnification

You agree to defend and cover costs for GenoDynLabs if legal claims arise from your use of the Services, your reliance on any genetic variant analysis or personalized protocol, your reliance on AI-generated outputs, your submission of inaccurate genetic data, your violations of applicable law, or your breach of these Terms.

21. Injunctive Relief

GenoDynLabs may immediately seek a court injunction for any intellectual property violations without the need to prove monetary damages.

22. Third-Party Websites and Services

GenoDynLabs is not responsible for any linked third-party sites or services, including any third-party laboratories or genetic testing providers whose raw data you may use with the platform. All processing of such data occurs locally on your device. Users access third-party services at their own risk and should review applicable third-party terms and privacy policies.

23. Linking to the Website

Written permission from GenoDynLabs is required before linking to the website. Users are responsible for all costs incurred in enforcing this requirement.

24. Beta Testing

If beta testing of new services is offered, additional terms will apply and will be made available at the time of participation.

25. Governing Law

The laws of the applicable state govern these Terms. Disputes are handled in designated courts unless submitted to arbitration.

26. Arbitration Agreement; Class Waiver; Waiver of Trial by Jury

• All disputes go to binding individual arbitration.
• No class actions or jury trials are permitted.
• Arbitration must be initiated within one year of a dispute arising or it is permanently barred.
• All arbitration proceedings are confidential.
• Each party covers their own legal costs unless a claim is found to be frivolous.

27. Assignment

Users cannot transfer their rights under these Terms. GenoDynLabs may assign its rights freely without user consent.

28. Third-Party Beneficiaries

Named affiliates and platform providers are third-party beneficiaries of these Terms.

29. Force Majeure

GenoDynLabs is not liable for failures caused by events outside its reasonable control, including natural disasters, government actions, power or network outages, and similar events.

30. Relationship of the Parties

GenoDynLabs is an independent contractor. These Terms do not create any employment, agency, partnership, or joint venture relationship between the parties.

31. Notice

All legal communications must be in writing and delivered to the addresses listed for each party. Communications may be sent via personal delivery, certified mail, or email with a hard copy follow-up.

32. Entire Agreement; Interpretation

These Terms, together with the Privacy Policy and any additional posted terms, constitute the full agreement between the user and GenoDynLabs. In the event of conflict, the Privacy Policy takes priority, followed by any additional website terms, then these Terms.

33. Survival

Provisions regarding indemnification, limitation of liability, intellectual property, and dispute resolution survive any termination of these Terms or of a user's account.
